Welcome to CephMind! These Terms of Service ("Terms") govern your use of our software-as-a-service (SaaS) product and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you signify your agreement to these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Your Account

• Account Creation: You must provide accurate and complete information when creating your account.
• Account Security: You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use or security breach.
• Eligibility: You must be at least 18 years old or the age of legal majority in your jurisdiction to use the Service.

3. Use of the Service

• License: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes, subject to these Terms.
• Prohibited Conduct: You agree not to:
  • Use the Service for any unlawful or unauthorized purpose.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Attempt to gain unauthorized access to any part of the Service or its related systems.
  • Transmit any viruses, worms, or other malicious code.
  • Copy, modify, distribute, sell, or lease any part of our Service.

4. Payments

• Third-Party Payment Processor: All payments for the Service are processed securely through Helcim, a third-party payment provider. We do not store your credit card or financial information on our servers. Your payment information is subject to Helcim's privacy policy and terms of service.
• Subscription Fees: You agree to pay all applicable fees for the Service as outlined on our pricing page or in your subscription agreement. Fees are billed in advance on a recurring basis (e.g., monthly or annually).
• Refunds: Unless otherwise specified, all fees are non-refundable.

5. User Authentication

Auth0 Integration: User authentication and account management for the Service are managed by Auth0, a third-party identity and access management platform. When you log in or register, your authentication information is processed by Auth0. Your use of Auth0 is subject to Auth0's terms of service and privacy policy.

6. Data Storage and Privacy

• Your Data: You retain all ownership rights to the data you upload or create within the Service ("Your Data").
• Data Location for Canadian Customers: For customers located in Canada, Your Data will be stored exclusively within Canadian Microsoft Azure data centers. This ensures your data remains within Canada's borders.
• General Data Storage: For customers outside of Canada, data may be stored in other Microsoft Azure data centers globally.
• Privacy Policy: Our collection, use, and protection of your information are governed by our separate Privacy Policy.

7. Intellectual Property

The Service, including all intellectual property rights therein, is and will remain the exclusive property of CephMind Inc. and its licensors.

You may not use our trademarks, logos, or other brand elements without our prior written consent.

8. Termination

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease.

9. Disclaimer of Warranties

The Service is provided on an "as-is" and "as-available" basis, without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall CephMind Inc., its affiliates, directors, employees, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to your use of, or inability to use, the Service.

11. Applicable Law and Jurisdiction

These Terms and their interpretation are subject to the laws of the province of Quebec and the laws of Canada applicable therein, without giving effect to any principles of conflicts of laws. The parties must irrevocably submit all disputes arising out of these Terms to the courts of the District of Montreal, Province of Quebec, including disputes regarding their interpretation and effects.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide reasonable notice of any material changes by posting the new Terms on our website. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
